This website, ZenpaiAssociation.com, is owned and operated by Zenpai Association LLC, doing business as Zenpai Association.

Throughout these Terms of Service, the terms “Zenpai Association,” “we,” “us,” and “our” refer to Zenpai Association LLC unless otherwise stated.

Zenpai Association operates this website and related online services, including our online store, content, products, interactive features, promotional features, games, customer accounts, tools, and other services made available through the website collectively referred to as the “Services.”

Our online store is hosted and supported by Shopify, which provides the ecommerce technology that allows us to offer products and Services to you.

These Terms of Service, together with our Privacy Policy, Refund & Return Policy, Shipping Policy, Legal Notice, and any other policies or terms referenced on our website, govern your access to and use of the Services.

Please read these Terms carefully before accessing our website or making a purchase.

By accessing, browsing, interacting with, creating an account on, or purchasing through the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you should not access or use the Services.

Nothing contained in these Terms is intended to waive, limit, or exclude any consumer rights or other legal protections that cannot lawfully be waived or restricted.

SECTION 1 — ELIGIBILITY & ACCOUNTS

You must be legally capable of entering into a binding agreement in your jurisdiction to make purchases through Zenpai Association.

Certain products, content, or areas of our website may be intended for adults or may have additional age restrictions. Where an age restriction is displayed, you are responsible for ensuring that you meet the applicable requirement before accessing or purchasing the applicable content or product.

When using our Services or placing an order, you agree to provide accurate, current, and complete information.

This may include your:

  • Email address

  • Billing information

  • Shipping address

  • Telephone number

  • Payment information

  • Other information reasonably necessary to complete your transaction

You are responsible for maintaining the confidentiality and security of your account credentials.

You are also responsible for activity conducted through your account unless unauthorized access occurred through circumstances outside your reasonable control.

SECTION 2 — PRODUCTS & PRODUCT INFORMATION

Zenpai Association makes reasonable efforts to provide accurate product descriptions, photographs, specifications, measurements, pricing, and other information.

However, minor variations may occur.

Product appearance may vary slightly because of factors including:

  • Manufacturing tolerances

  • Production revisions

  • Manual measurements

  • Photography

  • Lighting conditions

  • Screen settings

  • Device displays

  • Packaging variations

Unless expressly stated otherwise, measurements should be considered approximate. Certain products may vary by approximately 1–5 millimeters due to manual measurement or normal manufacturing tolerances.

We make reasonable efforts to display product colors accurately, but we cannot guarantee that every screen or device will display colors identically to the physical product.

These provisions do not limit your rights if you receive a product that is materially incorrect, defective, damaged, or materially different from what was represented.

Product descriptions, availability, specifications, designs, pricing, and packaging may change without notice when reasonably necessary.

We reserve the right to discontinue a product or limit quantities available for purchase, subject to applicable law.

SECTION 3 — COLLECTIBLES & PRODUCT PACKAGING

Many products offered through Zenpai Association are collectible merchandise.

Collectors may place particular importance on retail packaging. However, unless a product listing expressly guarantees a specific packaging condition or grading standard, minor cosmetic imperfections to retail packaging may occur during manufacturing, storage, fulfillment, or transportation.

Minor packaging imperfections may include:

  • Small creases

  • Light corner wear

  • Minor surface marks

  • Small dents

  • Minor manufacturer packaging inconsistencies

Minor cosmetic packaging imperfections that do not affect the merchandise itself do not necessarily mean that the product is defective.

Significant damage, crushed packaging, broken merchandise, missing parts, or other substantial issues should be reported to us according to our Refund & Return Policy.

SECTION 4 — ORDERS

Submitting an order constitutes an offer to purchase the selected merchandise.

Receipt of an order confirmation does not necessarily mean that an order has been finally accepted or shipped.

We reserve the right, subject to applicable law, to refuse, limit, or cancel an order for legitimate reasons including:

  • Product unavailability

  • Pricing or listing errors

  • Suspected fraud

  • Unauthorized payment activity

  • Payment processing problems

  • Quantity limitations

  • Shipping restrictions

  • Suspected resale abuse

  • Violations of these Terms

If we cancel an order after payment has been successfully collected, the applicable amount will be refunded according to the original payment method unless otherwise required or agreed.

If you need to request a cancellation or address change, contact us as soon as possible. We will make reasonable efforts to assist, but we cannot guarantee changes or cancellations once fulfillment has begun.

SECTION 5 — PRICING, BILLING & PAYMENT

Prices displayed through the Services are subject to change without notice.

The price applicable to a completed order will generally be the price displayed when the order is submitted, except in situations involving obvious pricing errors, technical errors, unauthorized promotions, or other circumstances permitted by applicable law.

Unless otherwise stated, product prices may not include:

  • Shipping charges

  • Applicable sales taxes

  • Customs duties

  • Import taxes

  • Other government charges

Any applicable charges collected directly by Zenpai Association will be displayed when required during checkout.

You agree to provide complete and accurate billing and payment information.

By providing a payment method, you represent that you are authorized to use that payment method for the transaction.

Payment processing may be performed by independent payment processors and Shopify-supported payment services.

We do not guarantee that every payment method will remain available at all times.

SECTION 6 — PROMOTIONS, DISCOUNTS & INTERACTIVE REWARDS

Zenpai Association may occasionally offer:

  • Discount codes

  • Coupons

  • Promotional offers

  • Giveaways

  • Interactive rewards

  • Game-based rewards

  • Limited-time promotions

  • Other promotional benefits

Additional rules or eligibility requirements may apply.

Unless expressly stated otherwise:

  • Promotional offers have no cash value.

  • Promotional codes may not be sold or transferred for commercial purposes.

  • Discounts cannot be combined unless expressly permitted.

  • Promotions may be limited by customer, account, product, quantity, or order.

  • Expired promotions will not be honored unless required by law.

  • Fraudulent or abusive use of promotional features may result in cancellation of the associated discount or reward.

We reserve the right to correct technical errors affecting promotional rewards or discount calculations.

Nothing in this section permits us to retroactively alter a completed transaction in violation of applicable law.

SECTION 7 — SHIPPING & INTERNATIONAL FULFILLMENT

Many Zenpai Association products are fulfilled through international suppliers and fulfillment partners, including partners located in China and other international locations.

As a result, certain orders may require substantially longer delivery times than typical domestic shipments.

Processing time and shipping time are separate.

International shipments may be affected by:

  • Carrier delays

  • Customs processing

  • International transportation

  • Weather

  • Holidays

  • Regional disruptions

  • Supplier processing times

  • Events outside our reasonable control

Estimated delivery dates and transit windows are provided in good faith but are not guaranteed unless we expressly state otherwise.

Certain international shipments may take several weeks and, in some circumstances, approximately two months to arrive.

Products from the same order may also be shipped separately and arrive at different times.

Lost, damaged, delayed, incorrect, or undelivered shipments will be handled according to our Shipping Policy, Refund & Return Policy, and applicable law.

SECTION 8 — RETURNS, REFUNDS & EXCHANGES

Returns, refunds, exchanges, damaged merchandise claims, and related requests are governed by our Refund & Return Policy.

Eligible return requests generally must be initiated within the return period stated in that policy.

Customers may be required to provide:

  • An order number

  • A description of the issue

  • Photographs

  • Video when reasonably necessary

  • Packaging photographs

  • Shipping label photographs

  • Other information reasonably required to investigate the claim

Providing requested documentation may allow Zenpai Association to investigate damage or fulfillment problems with shipping carriers, manufacturers, suppliers, or fulfillment partners.

Nothing in our Refund & Return Policy or these Terms limits any non-waivable statutory rights available to consumers under applicable law.

SECTION 9 — ZENPAI ASSOCIATION INTELLECTUAL PROPERTY

The Zenpai Association brand and the original content associated with Zenpai Association are valuable business assets.

Except for third-party intellectual property or materials otherwise identified, original materials created by or for Zenpai Association LLC may include:

  • Zenpai Association branding

  • Logos

  • Original characters

  • Original artwork

  • Website graphics

  • Website layouts

  • Game assets

  • Interactive content

  • Written content

  • Promotional materials

  • Video

  • Audio

  • Photography

  • Designs

  • Original digital assets

These materials may be protected by copyright, trademark, trade dress, and other applicable intellectual-property laws.

Except as permitted by applicable law or with our prior authorization, you may not reproduce, commercially distribute, sell, modify, republish, misrepresent, or exploit Zenpai Association's protected intellectual property.

No license or ownership interest in Zenpai Association intellectual property is transferred to you merely because you access the website or purchase merchandise.

All rights not expressly granted are reserved.

SECTION 10 — DOMAIN NAME, BRAND IDENTITY & IMPERSONATION

ZenpaiAssociation.com is the official website used by Zenpai Association LLC in connection with the Zenpai Association business and brand.

You may not falsely represent yourself, a website, account, business, product, or service as being owned by, sponsored by, affiliated with, endorsed by, or officially connected to Zenpai Association when no such relationship exists.

Unauthorized conduct may include:

  • Business impersonation

  • Fraudulent websites

  • Fraudulent social-media accounts

  • Phishing

  • Cybersquatting

  • Misleading domain names

  • Unauthorized commercial use of our branding

  • Counterfeit representations

  • Uses likely to create unlawful consumer confusion

Zenpai Association LLC reserves all rights and remedies available under applicable law to protect its business identity, domain name, trademarks, customers, intellectual property, and reputation.

Available remedies may include, where appropriate, cease-and-desist demands, platform complaints, intellectual-property enforcement, domain-name dispute procedures, requests for injunctive relief, monetary remedies, or civil legal proceedings.

Nothing in this section prohibits lawful criticism, commentary, fair use, nominative use, or other activities protected by applicable law.

SECTION 11 — THIRD-PARTY INTELLECTUAL PROPERTY & MERCHANDISE

Zenpai Association sells merchandise that may incorporate or relate to intellectual property owned by third parties.

Third-party:

  • Trademarks

  • Characters

  • Logos

  • Copyrighted artwork

  • Brand names

  • Product names

  • Designs

remain the property of their respective owners.

Unless expressly stated, displaying or selling third-party merchandise does not mean that Zenpai Association LLC owns the underlying intellectual property.

References to third-party properties are used only as appropriate in connection with the identification, description, promotion, or sale of applicable merchandise.

SECTION 12 — ACCEPTABLE USE

You may use the Services only for lawful purposes.

You may not use the Services to:

  • Violate applicable laws or regulations

  • Commit fraud

  • Infringe intellectual-property rights

  • Impersonate another person or business

  • Submit knowingly false or misleading information

  • Distribute malware or malicious code

  • Attempts to bypass CAPTCHAs or other security measures without authorization

We reserve the right to use technical measures to restrict abusive or unauthorized automated access.

This section is not intended to prohibit ordinary search-engine indexing, accessibility technologies, or other lawful activities that we authorize or that cannot legally be restricted.

SECTION 14 — INTERACTIVE FEATURES & DIGITAL CONTENT

Zenpai Association may provide games, interactive experiences, digital features, demonstrations, promotional tools, or other website functionality.

Unless expressly stated otherwise, these features are provided for entertainment, promotional, or informational purposes.

Virtual scores, game progress, promotional rewards, digital points, or similar features do not represent money, stored value, ownership interests, or transferable property unless expressly stated otherwise.

We may update, modify, suspend, reset, or discontinue interactive website features when reasonably necessary.

Users may not exploit bugs, manipulate website functionality, interfere with other users, or use unauthorized software to obtain an unfair promotional or technical advantage.

SECTION 15 — THIRD-PARTY TOOLS & SERVICES

Purchases or transactions completed directly with an independent third-party website are between you and that third party.

This provision does not apply to merchandise purchased directly from Zenpai Association merely because an international supplier, manufacturer, carrier, or fulfillment partner participates in fulfilling the order.

SECTION 17 — RELATIONSHIP WITH SHOPIFY

Zenpai Association's online store is powered by Shopify.

Shopify provides technology that enables us to operate portions of the Services.

However, purchases made directly through the Zenpai Association store are transactions between the customer and Zenpai Association LLC, unless expressly stated otherwise.

Shopify is not the seller of Zenpai Association merchandise merely because Shopify provides ecommerce infrastructure.

Any rights or obligations involving Shopify remain subject to applicable Shopify terms, policies, and applicable law.

SECTION 18 — PRIVACY

Personal information collected through the Services is handled according to our Privacy Policy.

Because portions of our Services are hosted by Shopify and may rely on third-party service providers, personal information may also be processed by Shopify and other service providers as necessary to operate the Services, process transactions, prevent fraud, provide customer support, fulfill orders, and provide other website functionality.

SECTION 19 — CUSTOMER REVIEWS, FEEDBACK & SUBMISSIONS

You represent that you have the necessary rights to submit such content and that your submission does not unlawfully infringe the rights of another person.

By voluntarily submitting content to us for publication, you grant Zenpai Association a non-exclusive, worldwide, royalty-free license to display, reproduce, format, and use that content as reasonably necessary to operate, improve, and promote our Services, unless otherwise agreed.

You may not submit content that is knowingly:

  • Fraudulent

  • Defamatory

  • Unlawfully threatening

  • Infringing

  • Malicious

  • Deceptive

  • Containing malware

  • Violative of another person's privacy rights

Nothing in these Terms prohibits customers from leaving honest reviews, criticism, opinions, or feedback regarding their experience with Zenpai Association.

We reserve the right to moderate content where permitted by law and reasonably necessary to address spam, unlawful content, fraudulent reviews, harassment, or violations of these Terms.

SECTION 20 — ERRORS, INACCURACIES & OMISSIONS

Occasionally, information available through the Services may contain:

  • Typographical errors

  • Pricing errors

  • Shipping estimate errors

  • Other inaccuracies or omissions

We reserve the right to correct inaccuracies and update information when reasonably necessary.

Where permitted by law, we may also cancel an order affected by a material error and issue an appropriate refund.

  • EVERY WEBSITE ERROR WILL BE CORRECTED IMMEDIATELY

  • THIRD-PARTY SERVICES WILL ALWAYS REMAIN AVAILABLE

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES THAT MAY OTHERWISE ARISE BY IMPLICATION, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

THIS SECTION DOES NOT EXCLUDE EXPRESS PRODUCT WARRANTIES WE SPECIFICALLY PROVIDE OR CONSUMER RIGHTS THAT CANNOT LEGALLY BE WAIVED.

SECTION 23 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZENPAI ASSOCIATION LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

THIS MAY INCLUDE, WHERE PERMITTED BY LAW:

  • LOST PROFITS

  • LOST REVENUE

  • LOSS OF DATA

  • LOSS OF BUSINESS OPPORTUNITY

  • INDIRECT REPLACEMENT COSTS

Nothing in these Terms excludes or limits liability to the extent that such liability cannot legally be excluded or limited.

Nothing in these Terms is intended to eliminate rights available to consumers under mandatory applicable law.

SECTION 24 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Zenpai Association LLC and its officers, employees, contractors, agents, and service providers from third-party claims, liabilities, losses, and reasonable costs arising directly from:

  1. Your material violation of these Terms;

  2. Your unlawful use of the Services;

  3. Your infringement of another person's intellectual-property or legal rights; or

  4. Fraudulent or malicious conduct carried out through your account.

This provision does not require you to indemnify Zenpai Association for liability caused solely by Zenpai Association's own unlawful conduct where such indemnification is prohibited by law.

SECTION 25 — EVENTS OUTSIDE OUR CONTROL

Zenpai Association will not be responsible for delays or failures caused by circumstances outside our reasonable control where permitted by law.

Such events may include:

  • Natural disasters

  • Severe weather

  • War

  • Civil unrest

  • Government actions

  • Customs disruptions

  • Labor disputes

  • Carrier disruptions

  • Transportation interruptions

  • Widespread internet or infrastructure failures

  • Supplier emergencies

  • Public-health emergencies

  • Other events reasonably beyond our control

This section does not eliminate obligations that cannot legally be waived.

SECTION 26 — TERMINATION

We may suspend or terminate access to the Services where we reasonably believe that a user has:

  • Materially violated these Terms

  • Engaged in fraud

  • Misused the Services

  • Attempted unauthorized access

  • Threatened the security or operation of the website

  • Engaged in unlawful activity

Termination does not eliminate obligations or liabilities that arose before termination.

To the extent permitted by applicable law, these Terms and disputes arising from or relating to the Services will be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

Where permitted by law, disputes that require court proceedings may be brought in an appropriate state or federal court having jurisdiction in North Carolina.

However, nothing in this section deprives a consumer of mandatory protections or rights available under the laws of the jurisdiction in which that consumer resides when those protections cannot lawfully be waived.

These Terms do not require arbitration unless Zenpai Association and the applicable party separately agree to arbitration in writing.

We may update these Terms from time to time to reflect:

  • New features

  • Changes in business practices

  • Changes in applicable law

  • Changes in third-party services
